Sun Pharma raised a $350 million, zero coupon FCCB in 2004, which are convertible at the option of the bondholder at a conversion price of Rs. 729.30 per share of Rs. 5 each at the fixed rate of conversion of Rs. 45.01= $1. If the bonds are not converted, they are to be redeemed after 5 years, on Nov 26, 2009 or in case of certain defined earlier exemptions at an accelerated premium of 4.61% p.a. with half yearly rests.
The company has an option to redeem the bonds any time after Nov 26, 2007 and prior to November 16, 2009. If all the FCCBs were converted, approx 21,600,850 equity shares of Rs. 5 each would have to be issued. The FCCB is listed on Singapore Exchange. The proceeds of the FCCB are earmarked for acquisitions in the US generic space. |
